Terms of Service

These terms govern your use of AgencyOS, provided by Hamid Soheili, doing business as AgencyOS. By subscribing to or using the service you agree to them. If you are agreeing on behalf of an agency or company, you confirm you have authority to bind it.

The service

AgencyOS gives an agency a private workspace to manage clients, projects, components, tasks, deliverables, approvals, and time, and to give its own clients a limited view of the work being done for them. We may improve and change the service over time. If we remove a material feature you rely on, we will give reasonable notice.

Accounts and roles

The first administrator set up for an agency owns the workspace and can invite teammates and clients and assign each of them a role. Administrators can see and manage everything in the workspace; team members see the work assigned to them and the projects they are part of; client accounts see only their own projects and deliverables. You are responsible for keeping sign-in credentials confidential and for activity that happens under your agency's accounts. Tell us promptly if you believe an account has been compromised.

We operate a platform administrator role that can enter a support session for a specific agency in order to diagnose a problem. Entering and leaving support mode is recorded in an audit log.

Subscription and billing

• The Founding Agency plan is $49 per month for one agency workspace, billed in advance. Sales tax is added where it applies, so the amount charged may be more than $49. The total is calculated and shown at checkout before you pay.
• New agencies get a 7-day trial. If you do not subscribe before it ends, access stops; your data is not deleted at that point.
• Payments are processed by Stripe, which acts as the merchant of record for your subscription. Stripe is the seller for the transaction, issues your receipt, and calculates, collects and remits any sales tax that applies. Card details are entered directly with Stripe and never reach our servers.
• By subscribing you authorise recurring monthly charges until you cancel.
• You can cancel at any time from the Billing page, which opens the Stripe billing portal. Cancelling stops future renewals; your workspace remains available through the end of the period you have already paid for, and the scheduled end date is shown on the Billing page.
• Fees are charged in advance and are not refunded for time already used; cancelling stops the next renewal rather than refunding the current period.
• You can ask us for a refund, and because Stripe is the merchant of record you can also raise a refund request with Stripe directly. Stripe reviews those requests and may refund an eligible charge. We will refund a charge that we agree was made in error, and we will honour any refund required by law.
• If we change the price we will give at least 30 days' notice before it applies to your renewal.
• If a payment fails and is not resolved, we may suspend access to the workspace.

Your data and your responsibilities

You own the content you put into AgencyOS, including your client records, projects, tasks, notes, and uploaded files. We process your clients' personal data on your behalf and on your instructions, as described in our Privacy Policy and governed by our Data Processing Agreement, which forms part of these terms. You remain the controller of that data, which means you are responsible for:

• having a lawful basis to collect and process each client contact's personal data;
• telling the people whose data you record who you are and how you will use it;
• having the right to upload the documents and deliverables you store, including any personal data inside them;
• responding to people who ask to access, correct, or delete data you hold about them; and
• deleting client data when you no longer have a reason to keep it.

Acceptable use

You agree not to:

• use the service for anything unlawful, deceptive, or discriminatory;
• store sensitive personal data in the workspace without a lawful basis for doing so;
• attempt to access another agency's workspace, probe or disrupt the service, or circumvent its limits; or
• upload malware, or content that infringes someone else's rights.

We may suspend a workspace that we reasonably believe is breaching these rules, and will tell you why.

Availability

We work to keep AgencyOS available, monitor it automatically, and take daily backups, but we do not offer a contractual uptime guarantee on this plan. The service may be unavailable during maintenance or for reasons outside our control.

Suspension, termination, and deletion

You can delete individual clients and their associated records from the application at any time. There is currently no self-service way to close an entire workspace and have it erased: ask us at the address below and we will delete your agency's data. Export anything you need first.

We may suspend or terminate an account that breaches these terms or that fails to pay. Deleted data can persist in encrypted backups for up to 30 days, as described in the Privacy Policy.

Warranties and liability

The service is provided "as is" without warranties of any kind, to the fullest extent the law allows. Nothing in these terms limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud. Subject to that, our total liability arising out of the service in any 12-month period is limited to the fees you paid us in that period, and we are not liable for indirect or consequential loss, lost profits, or lost data.

Changes to these terms

We may update these terms. If a change is material we will give notice by email before it takes effect. Continuing to use the service after that means you accept the updated terms.

Governing law

These terms are governed by the laws of the State of Texas, and its courts have exclusive jurisdiction.
